General Terms and Conditions

Thank you for visiting www.dhanmudra.com. By accessing or using the website, whether automated or otherwise, you agree to be bound by these Terms and Conditions and any additional terms that may apply to specific areas of the website.

The Website is owned and operated by Acolyte Finserv Limited (Formerly Gagan Metals Ltd), a company incorporated under the provisions of the Companies Act, 2013.

The contents set out herein form an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable. This document does not require any physical or digital signatures and forms a valid and binding agreement between the website and the User.

We reserve the right to change these Terms of Use at any time. By continuing to use the website after we post any such changes, you accept the Terms of Use as modified.

Customer Eligibility

Use of the Website is available only to persons who can legally contract under the Indian Contract Act, 1872. Persons who are "incompetent to contract" including minors and un-discharged insolvents shall not be eligible to use the website.

By accepting the Terms of Use, you irrevocably declare that you are of legal age (18 years or older) and capable of entering into a binding contract.

Required Documents:

  • PAN (Permanent Account Number) allotted by the Income Tax Department of India
  • Rupee-denominated savings/current account with a bank in India

To be eligible as a Borrower, User must:

  • Be a salaried individual based in India
  • Not have been unemployed at any point during the last 6 months
  • Not have any civil or criminal litigation instituted against them
  • Receive monthly salary in the bank account
  • Be seeking a loan amount between Rs. 5,000 and Rs. 1,00,000 with a loan term of not more than 180 days

Sign up and Registration

Any person may access the website either by registering or using it as a guest. However, guest users may not have access to all sections reserved for registered Users.

By applying for registration, you agree and authorize us to:

  • Run identity, KYC, and fraud checks
  • Obtain credit rating from Credit Information Bureau
  • Carry out residence and/or work verification at your employment location

If any User provides information that is untrue, false, not updated, or incomplete, the website shall have the right to suspend or terminate the relevant User account and refuse any and all current or future use of the website.

Registration Fee: There is no fee charged for registration.

Use of Website

To borrow through the website, you must log on to your DhanMudra Account. All registered Users shall be solely responsible for activities relating to the account.

Important Security Notice

If you learn or become aware of any instance of hacking or misuse of your DhanMudra Account, you shall without delay notify the website of the same.

The Website strictly prohibits:

  • Downloading or copying content for commercial purposes
  • Caching, unauthorized linking, or framing of content
  • Uploading software viruses or malicious code
  • Using data mining or scraping techniques
  • Any action that imposes unreasonable load on the website's infrastructure

The Website grants every User a limited, non-exclusive, and revocable license to access the website only to the extent such use does not violate these Terms of Use.

Terms and Conditions for Lending

Upon selecting the Borrower, the Registered Lender will transfer an amount equivalent to the amount that he/she wishes to lend in the Escrow Account through his bank account using RTGS/NEFT.

Upon successful transfer of the Lending Amount to the Escrow Account, and once Acolyte Finserv sights the funds, the Lending Amount will be reflected in the User's Account. This could take up to 4-6 hours.

The Lender and Borrower will sign the Loan Agreement. The amount will be transferred to the Selected Borrower from the Escrow Account.

Charges and Fees

The website shall be entitled to charge fees and charges. The facilitation fee will only be charged if lenders receive EMIs. The rate of such charges may be revised from time to time, and any changes will be updated via email, SMS, and/or push notification.

Terms and Conditions for Borrowing

A Borrower can borrow from the website by posting a loan requirement and completing the application process. During registration, you must enter the details of your bank account for repayment purposes.

By posting a Loan Request, you agree to:

  • Provide additional information as requested
  • Authorize us to check your credit rating from Credit Information Bureau in India
  • Give free consent for Acolyte Finserv Limited to obtain your Credit Information Report and Credit Score from Equifax Credit Information Services Pvt. Ltd.

Charges and Fees

  • Loan processing charge for every loan availed
  • GAP Interest charges if eligible
  • Tracing charges - Rs. 300
  • No-Response fee (15 consecutive days) - Rs. 300
  • Recollection Fee - Rs. 300
  • Change of Repayment Date - Rs. 300
  • Change of Nominated Account - Rs. 300
  • Litigation costs and legal fees
  • Loan Cancellation charges - Rs. 1,000

Late Payment Fee (Loan amount up to Rs. 1,00,000)

  • 7 days delay:Rs. 750
  • 14 days delay:Rs. 1,500
  • 21 days delay:Rs. 2,250
  • 28 days delay:Rs. 3,000
  • Beyond 1 month:Additional 1.25% penal interest

Settlement of Payment

Any monies received from the Borrower, including delay charges, late fees, penal charges, or any other applicable charges, shall be kept in the Escrow Accounts.

All collected repayments will be transferred to Lender's account within 3 days of the receipt of the EMI from the borrower.

As a Borrower, you make your repayments due under loan agreements by direct debit to your bank account. The repayment amount shall be rounded up to the nearest whole number.

While crediting the Lenders' account, the EMI or applicable delay penal charges amount will be rounded off to two decimal places.

Loan Administration

EMI

EMIs will start as per the date of the disbursement of the loan.

Prepayment Terms

Any Borrower who wishes to prepay the loan can pre-pay without any prepayment charges. For prepayment, please email us at info@dhanmudra.com.

Missed Repayments

If a Borrower misses a repayment or anticipates inability to repay, the Borrower should promptly contact us by sending an email to info@dhanmudra.com. We will explain delay charges and options available, inform relevant parties, and report to Credit Information Bureau about the default.

Default Category

A Borrower shall be considered under "default" category if:

  • Fails to pay EMI for three consecutive months
  • We receive confirmation of Borrower's death
  • Borrower has entered into a terminal arrangement affecting Loan Agreements
  • Other specific situations as may arise

Repayment Date Changes

You can request to change the Repayment Date by emailing info@dhanmudra.com. You can change your Repayment Date only once in 6 months. Applicable charges of Rs. 300 will apply.

Closing Your DhanMudra Account

Once all your Loan Agreements are repaid, you may terminate your DhanMudra registration by sending us an email to info@dhanmudra.com. However, we will continue to maintain records to the extent required by law.

We may terminate the registration of the User if the User has provided false information, has breached the Terms of Use, has died, become bankrupt, failed to pay the loan, or is categorized in the Default category.

We may terminate or suspend your registration immediately and without notice if we are aware of or reasonably suspect fraudulent activity, reputation damage to the website, or activity against the website's interest.

When we terminate your registration, you will not have access to your DhanMudra Account. However, this will not affect your obligation to repay the amount borrowed under a Loan Agreement.

Privacy and Data Protection

Service Communications

We understand your concerns about not sending unnecessary calls, emails, or SMS to you. There are some messages ("Service Messages") that we will need to send you. These may be sent via email, post, call, or text message and include notifications at various stages of your loan or investment.

Occasional Updates

When you register on DhanMudra, you are offered the option to receive our occasional updates. These messages notify you about new features, ask your opinion regarding various situations and services, and tell you about services you might not be using yet.

If you decide you no longer want to receive these messages, you can change your contact preferences in the "My Contact Preferences" area once you are logged in to your DhanMudra Account or email your preference to us at info@dhanmudra.com.

Use of Content

While using the website, the User specifically undertakes not to host, display, upload, modify, publish, transmit, update, or share any information or content that:

  • Belongs to another person and to which the User does not have any right
  • Is grossly harmful, harassing, blasphemous, defamatory, obscene, or unlawful
  • Harms minors in any way
  • Impersonates any person or entity
  • Threatens the unity, integrity, defence, security or sovereignty of India
  • Infringes any patent, trademark, copyright, or other IPR
  • Contains software viruses or malicious code
  • Deceives or misleads about the origin of such messages
  • Interferes with or disrupts access to the Website
  • Attempts to gain unauthorized access to any portion of the website
  • Probes, scans or tests the vulnerability of the website
  • Violates any applicable laws or regulations

Intellectual Property Rights

Intellectual Property Rights ("IPR") for the purpose of these Terms of Use shall always mean and include copyrights, patents, trademarks, trade names, designs, moral rights, broadcasting rights, and all text, graphics, user interfaces, visual interfaces, sounds and music, artwork and computer code in relation to the website.

All IPR on the Website exclusively belong to either the website or third-party sellers and suppliers. Under no circumstance shall any User infringe such IPR during or pursuant to its use of the website.

The User acknowledges that no part of any IPR is transferred to the User, and any IPR arising as a result of these presents shall be in the absolute ownership of DhanMudra or its permitted assigns.

The User shall not copy, republish, post, display, translate, transmit, reproduce or distribute any IPR through any medium without obtaining necessary authorization.

Indemnity

The User hereby indemnifies, defends, and holds harmless the entity owning and operating the website, its subsidiaries, affiliates, vendors, agents, and their respective directors, officers, employees, contractors, and agents from and against any and all losses, liabilities, claims, suits, proceedings, penalties, interests, damages, demands, costs and expenses arising out of:

  • The User's breach of these Terms of Use
  • Any claims made by any third party due to, or arising out of, the User's use of the website
  • Any claim that third party IPR, proprietary information, content, or materials provided by the User causes damage
  • Violation of any rights of any third party by the User

The User shall not compromise or settle any claim or admit any liability on the part of the website without the express prior written consent of the website.

Report Abuse and Take Down Policy

In the event the website or any User becomes aware of any objectionable content on the website, including but not limited to violation of privacy, misuse of personal information, or violation of any IPR, in violation of these Terms of Use, the website may without any prior notice take down such objectionable content.

For any reporting, the User should contact the website at info@dhanmudra.com.

If a feedback comment or communication contains profanity, please submit a request for action/removal. Disciplinary action may result in indefinite suspension of a User's account, temporary suspension, or a formal warning.

Violations may result in: limits placed on account privileges, loss of special status, or account suspension.

Feedback and Information

The Website reserves the right, at its sole discretion, to use such information for upgrading/enhancing the website, and such use shall be entirely unrestricted.

The Website may, at its discretion, make any modifications or changes to the website and its content on the basis of such feedback or information.

In the event that the website makes any changes or modifications based on feedback, the User shall not have any rights or title (including any IPR) in such changes or modifications.

By submitting any feedback or information, the User hereby warrants that the feedback does not contain confidential or proprietary information and shall not be entitled to any compensation or reimbursement.

Applicable Law

These Terms of Use shall be governed by and interpreted in accordance with the laws of India. The courts in Mumbai shall have exclusive jurisdiction in respect of any matters arising here.

Dispute Resolution

In the event of any dispute, the parties shall endeavor to settle such dispute amicably. The attempt to bring about an amicable settlement shall be treated as having failed after reasonable attempts continuing for not less than 15 calendar days.

In case of such failure, the dispute shall be referred to a sole arbitrator appointed by the website. The arbitration proceedings shall be governed by the Indian Arbitration and Conciliation Act, 1996, and shall be held in Mumbai. The language of the arbitration shall be English.

Jurisdictional Issues

Unless otherwise specified, the products/items listed on the website are solely for the purpose of delivery in India. The website shall under no circumstance be held liable for use or availability of Products for use in locations/countries other than India.

Buyer Protection Program

If you want to make a complaint about the Loan Agreement or Acolyte Finserv Limited, you can email info@dhanmudra.com with brief details of your complaint and your account reference.

We will acknowledge your complaint within one working day and send you an initial response within five working days.

If you are not satisfied with the response from the Customer Services Manager, you can escalate and your email will be referred to the Chief Operating Officer, who will respond within five working days.

General Provisions

Notice: All notices shall be served to the User by email or by general notification on the website. Any notice to be sent to the website shall be sent to the grievance officer by email at info@dhanmudra.com

Assignment: This Terms of Use shall not be assigned or transferred by the User. However, the website's obligations are freely assignable to any third parties without requiring User's prior consent.

Severability: If any provision of these Terms of Use is void, such provision shall be severed. The Terms of Use shall otherwise remain in full force and effect.

Waiver: Any failure or delay by a party to enforce any provision shall not constitute a waiver. Any waiver shall only be made in writing.

Relationship and Exclusivity: Nothing in these Terms of Use shall constitute a partnership, joint venture, agency, or the like between the parties hereto.

Force Majeure: If performance is prevented by labor disputes, acts of God, floods, war, terrorism, or any event beyond reasonable control, the website shall be excused from such performance.

Insurance for Loan or Borrower

Current Status

This feature is currently not available. However, Lender and Borrower authorize the website to work with any insurance company registered with IRDA and ready to provide the beneficiary products. If such a facility comes into existence in the future, the website needs not take any permission from the user.

For any such product, Borrower or Lender or Both may choose to pay the premium amount to Acolyte Finserv Limited and then Acolyte Finserv Limited will pay the same to the insurance company on your behalf.

Acolyte Finserv Limited will be the nominee for this insurance policy and is authorized to manage the claim settlement process on your behalf.

In case your repayments are irregular or delayed on a consistent basis, Acolyte Finserv Limited reserves the right to cancel the insurance policy. The insurance policy will be co-terminus with your loan tenure.

In case of any incident (permanent disability/accidental death of the Borrower), the beneficiary/nominee will need to intimate Acolyte Finserv Limited, who will then initiate the claims on the beneficiary/nominee's behalf.
